Acquisition of Enterprise plc completes

Amey has confirmed today that the acquisition of Enterprise plc is now complete.

The acquisition makes Amey one of the most diverse players in the UK public and regulated sectors with a turnover of £2.3bn and 21,000 employees.

Amey now operates over 320 contracts, providing an unrivalled range of services including; utilities, highways, waste management, rail, justice solutions, social housing and facilities management. Services are underpinned by our leading consulting and asset management capabilities which allow us to offer stand-alone or integrated service solutions across nearly every county of the UK.

Mel Ewell has already been named as the chief executive of the newly combined organisation, but today confirmed his new management team as:

·         Gillian Duggan, Managing Director, Built Environment

 

·         Andy Milner, Managing Director, Rail and Consulting

 

·         Dan Holland, Managing Director, Utilities and Defence

 

·         Darryl Salmons, Chief Information Officer

 

·         Valerie Hughes-D’Aeth, Group HR and Communications Director

 

·         Wayne Robertson, Group Legal Director  

 

·         Keith Sexton, Group HSEA Director  

 

·         Andres Camacho, Integration Director

 

·         John Faulkner, Strategy Director 

 

We will now begin a dedicated process of integrating Enterprise into Amey, while remaining focused on delivering a smooth transition for customers; ensuring service continuity and maintaining operational excellence throughout.

The acquisition will allow Amey to respond to the demands of the industry, offering long-term value to customers through enhanced capabilities, a broader provision of services and implementation of best practice.

Biographies of the new management team are listed below

Mel Ewell Chief Executive - Since becoming Amey’s Chief Executive in 2003, Mel successfully guided Amey through its sale to Ferrovial and led the business through almost a decade of subsequent growth. In his time at the helm, Mel has also overseen various transformation programmes and strategic acquisitions, including that of the Owen Williams consultancy in 2006 and now Enterprise amongst others. This helped us become market leaders in being able to offer customers a truly end-to-end service, and has led to significant growth.

Andrew Nelson Chief Finance Officer - In his 14 years with the business, Andrew has helped to cement Amey’s strong financial position – leading the company to sustained profitability and year-on-year achievement of financial targets. Andrew has overseen the negotiations for several strategic acquisitions, including Owen Williams in 2006 and the Donarbon waste and recycling business in 2010. Most recently he was heavily involved in all aspects of our acquisition of Enterprise plc. Andrew has also played a major part in the negotiations of high-profile contract wins, notably the £1.8bn Tube Lines PPP, the £500m MoD Whitehall refurbishment and the £300m Glasgow Schools programme.

Gillian Duggan Managing Director Built Environment division - Gillian joined Amey in 2004 as Group HR Director before becoming Managing Director for Amey’s Built Environment division in 2008. Her commitment to people and behavioural change instrumental to Amey’s entry to the social justice market – with Gillian leading the formation of our partnerships with global leaders GEO and MTC.

Nick Gregg Managing Director Government division - Nick joined Amey in February 2011 as the Managing Director for our Local Government division and subsequently took control of Amey’s strategic highways business. Under his leadership, Amey successfully mobilised the £2bn, 25-year Sheffield Streets Ahead project – complementing our existing Highway, Waste and Street Lighting PFIs including Birmingham and Cambridge.

Andy Milner Managing Director Consulting and Rail division - As Managing Director for Amey’s Consulting and Rail division, Andy heads up one of the UK’s leading engineering and technical consultancies. He has overseen unrivalled growth and increased our professional engineer population to 2,500, with Amey being named the NCE/ACE Major Consultant of the Year in 2010, and shortlisted in 2011 and 2013

Dan Holland Managing Director Utilities and Defence  - Dan joined Amey in 2013 as Managing Director for Amey’s Utilities and Defence division, following the acquisition of Enterprise.  Dan began his Utilities career at ARM before it merged with Enterprise in 2000, where he become a Managing Director in 2006.  In 2010 he also became a non – executive director of EU Skills, the licensed Sector Skills Council for the gas, power, waste management and water industries and the National Skills Academy for Power.

 

Darryl Salmons Chief Information Officer - Darryl joined Amey in early 2013 as Chief Information Officer (CIO) and leads our IT and Business Improvement functions. He has a proven track record in IT strategy and business transformation across the financial services, utilities and logistics sectors.

Valerie Hughes D’Aeth Group HR and Communications Director- Valerie joined Amey in March 2009 and has transformed the company’s people strategy and HR function – culminating in Amey becoming the first business in its sector to gain company-wide IiP Gold status in 2012. Valerie was also named as one of the UK’s Top 10 Most Influential HR Directors in 2012

Wayne Robertson Group Legal Director - Wayne joined Amey as Senior Counsel for Amey Business Services in 2006 and is now Head of Legal and Company Secretary to Amey plc. A qualified corporate lawyer, Wayne has negotiated and advised on numerous successful PFI and PPP projects and contracts, including with Transport for London and the Home Office.

Keith Sexton Group HSEA Director - Keith joined Amey in 2000 and has been instrumental in building our safety culture and ensuring we operate as a sustainable and compliant business, with minimal impact on the environment.

Keith also led the roll-out of our ‘Target Zero - Every Day’ programme which has helped reduce our accident incident rate to its lowest ever level, and has driven Amey’s response to the climate change and sustainability agendas.

Andres Camacho Integration Director - Andres joined Amey in early 2013 and will lead the integration of the Enterprise business into Amey. He was previously Business Development Director for the Strategy and Development team at Ferrovial Services. In his five years with the team, Andres worked closely with his Amey counterparts at strategic and operational levels. He acted as global project coordinator for the Enterprise acquisition, giving him a thorough understanding of its entire operation. Andres has helped shape the organisation that Ferrovial Services is today. This included the sales of Tube Lines and Swissport, and the acquisition of a services company in Chile.

John Faulkner Strategy Director - John joined Amey in January 2011 as Business Development Director for what was then our Inter-Urban division. He was appointed to the position of Strategy Director in November 2012 and is responsible for working with Amey’s divisional MDs and the Chief Executive to set the strategic direction for our business. John is a Chartered Civil Engineer who brings a wealth of public sector experience. Before joining Amey he worked at the Centre of Whitehall as a Senior Civil Servant, heading up the Department for Transport’s Strategy Unit.
